Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and SocioAI ("SocioAI", "we", "our", or "us") governing your access to and use of our website, applications, APIs, and related services (collectively, the "Service"). By creating an account, clicking acceptance, or using the Service, you agree to these Terms and our Privacy Policy.

2. Eligibility and Minors

• You must be at least 13 years old to use the Service.
• If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
• You may only use the Service in compliance with applicable laws, school policies, and testing organization rules.

3. Account Registration and Security

• You must provide accurate information and keep your account information current.
• You are responsible for safeguarding your account credentials and all activity under your account.
• You must promptly notify us of suspected unauthorized access or security incidents.

4. Educational Purpose; No Guarantee

The Service provides educational planning support and workflow tools. Admissions outcomes depend on many factors outside our control. We do not guarantee admission, scholarship awards, financial aid results, test score improvements, or any specific outcome.

5. No Professional Advice

The Service does not provide legal, financial, tax, immigration, medical, psychological, or therapeutic advice. You are solely responsible for decisions you make using Service outputs and should consult qualified professionals where appropriate.

6. Acceptable Use and Prohibited Conduct

You agree not to:

• Use the Service for unlawful, fraudulent, abusive, or deceptive activity.
• Submit false information in school applications or violate academic integrity rules.
• Attempt to reverse engineer, scrape, disrupt, or bypass security controls.
• Upload malware, harmful code, or content that infringes third-party rights.
• Use bots or automation to overload, interfere with, or degrade the Service.

7. User Content and License

• You retain ownership of content you submit ("User Content").
• You grant SocioAI a non-exclusive, worldwide, royalty-free license to host, process, reproduce, adapt, and display User Content solely to operate, secure, and improve the Service.
• You represent that you have all rights necessary to submit User Content and that it does not violate any law or third-party rights.

8. AI and Third-Party Services

The Service may rely on third-party infrastructure and AI providers. Outputs may be inaccurate, incomplete, or outdated and must be independently verified. Your use of integrated third-party services may be subject to separate terms and policies.

9. Fees and Paid Features

If paid features are introduced, pricing and billing terms will be presented before purchase. Unless otherwise stated in writing, fees are non-refundable to the maximum extent permitted by law.

10. Suspension and Termination

We may suspend or terminate access to the Service at any time, with or without notice, if we believe you violated these Terms, created legal risk, or threatened Service security. You may stop using the Service at any time.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIOAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIOAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless SocioAI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

14. Dispute Resolution; Class Action Waiver

To the extent allowed by applicable law, you and SocioAI agree to resolve disputes through binding individual arbitration, and not by jury trial or class action. You and SocioAI each waive any right to participate in a class, collective, consolidated, or representative action. If this section is unenforceable in your jurisdiction, the remaining Terms remain in effect.

15. Governing Law

These Terms are governed by the laws applicable to the SocioAI contracting entity, without regard to conflicts-of-law principles, except where mandatory consumer protections require otherwise.

16. Changes to Terms

We may modify these Terms from time to time. The updated version will be posted with a revised effective date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
